Who we are
Business Webpage Ltd is registered in England and Wales, company number 04954466. Our registered office is 1 St Catherines Road, Thorpe St Andrew, Norfolk, NR7 0XR.
We work from our studio at Unit 9 Shepherds Business Park, Lenwade, Norwich NR9 5SG. That is where to find us, and visits are by appointment.
Telephone 01603 898148. Email info@businesswebpage.co.uk. We are open Monday to Friday, 9:30 to 16:30.
In these terms, "we" and "us" mean Business Webpage Ltd, and "you" means the person or business we are doing the work for.
When these terms apply
These terms apply to everything we do for you: designing and building websites, hosting, email, domain names, search engine optimisation, photography and any other work we quote for.
Your written quotation and these terms together form the agreement between us. Where the quotation says something different from these terms, the quotation wins. Accepting a quotation, paying a deposit, or asking us to start work all count as accepting these terms.
Quotations
We quote in writing before any work begins. A quotation sets out what we will do, what it costs and an estimated timescale.
A quotation is valid for 60 days. After that we may need to requote, because our costs or a supplier's prices may have changed.
A quotation covers only what it lists. If you ask for something that is not in it, we will quote for that separately before doing the work.
VAT
We are not VAT registered, so there is no VAT to add. The price you are quoted is the price you pay.
What we need from you
We cannot build your website without material from you. That usually means text, photographs, a logo, and access to anything we need to connect to, such as an existing domain or a booking system.
You are responsible for making sure you have the right to use everything you send us, and that it is accurate and lawful. If you send us a photograph you do not own the rights to, we cannot use it.
We will tell you what we need and when. If material arrives late, the timescale moves, and we will tell you the new one.
Timescales
Every quotation includes an estimated timescale. It is an estimate, not a guarantee, and it assumes we get what we need from you when we ask for it.
If something is going to take longer than we said, we will tell you why and give you a new date.
Paying for one-off work
One-off work means designing and building a website, development, photography, and anything else quoted as a single job rather than as an ongoing service.
We take a deposit of 30% of the quoted price before we start. The deposit is not refundable, because it covers the time we set aside for your project and turn away other work to protect.
The balance is due when the completed work is delivered.
Paying for ongoing services
Ongoing services means hosting, email, domain names, search engine optimisation and anything else charged periodically rather than as a one-off.
Services are payable on commencement — at the start of the period they cover, not at the end of it. Hosting, email and domain names are invoiced annually in advance.
Invoices and late payment
Invoices are due on the date of the invoice, and we allow one month's grace to settle.
A one-off invoice is treated as overdue one month after its invoice date. A service invoice is treated as overdue one month after the service commenced.
If an invoice is overdue we may charge interest and a fixed recovery sum under the Late Payment of Commercial Debts (Interest) Act 1998. We would rather ring you.
If an invoice goes unpaid
Nothing happens to your website or your email while we are still trying to sort it out, and we will make exhaustive attempts to settle before we take any step that affects your service.
If an invoice is more than one month overdue we reserve the right to suspend the service. If it is more than six months overdue we reserve the right to delete it.
We say that because it has to be written down, not because we want to do it. In practice, if you are talking to us and telling us when you can pay, we will work with you. The clients we have lost to non-payment are the ones who stopped answering the phone.
Additional work
Work outside a quotation is charged at £75 an hour, unless we agree a fixed price for it first.
Websites change shape while they are being built, and small adjustments are part of the job. Larger changes are not. If you ask for something that materially changes what we agreed — extra pages, a different structure, a redesign of work already approved — we will tell you before we do it, and quote for it. You can then decide.
Approval and launch
Before a site goes live we will ask you to check it. Please read it properly: the words, the prices, the contact details, and anything that matters legally.
Once you approve a site and we put it live, it is your site and your content. We will of course fix anything that is our mistake, under the warranty below.
Putting things right
For 90 days after your site goes live we will fix, free of charge, anything that does not work the way we agreed it would.
That does not cover changes you ask for after approval, problems caused by changes you or someone else makes, or faults in third-party software, hosting or services outside our control.
Hosting and email
Hosting and email are provided annually and renew each year unless you tell us otherwise. To cancel, give us one month's notice before the renewal date.
We take reasonable care to keep hosting running and backed up, but no hosting is perfect and we do not promise it will never be unavailable.
Domain names
We register domain names in your name, with you as the registrant. The domain is yours.
If you leave us, we will release it or transfer it to another provider without charge and without delay. We will not hold a domain hostage, and we would think less of anyone who did.
Support after launch
We are here afterwards. Changes, questions and advice are what most of our clients stay for.
Small changes are often quick and we frequently do not charge for them. Anything substantial is quoted, or charged at £75 an hour. There is no minimum contract and no retainer unless you want one.
Search engine optimisation
SEO work is charged at £75 an hour after the introductory audit, with no minimum contract.
We cannot promise particular positions in Google, or in any other search engine or AI answer engine. Nobody honestly can: the rankings are theirs to decide and they change them constantly. What we can promise is that the work is done properly and that you get a written record of what was done and what changed.
Who owns what
Your content — your words, your photographs, your logo, your data — stays yours throughout.
Once you have paid in full, the design and the code we wrote specifically for your site are yours to use for that site. Until then they remain ours.
Some parts of a site are not ours to give away: WordPress, plugins, themes, fonts, stock photographs and other third-party components come with their own licences, and those licences continue to apply. We will tell you if anything on your site carries an ongoing licence cost.
We keep the right to reuse our own underlying techniques, code libraries and working methods on other projects. We are not going to reinvent how a contact form works for every client.
Showing your site in our portfolio
We would like to show your finished site in our portfolio and use a screenshot of it in our own marketing. Tell us if you would rather we did not, at any time, and we will take it down.
Third-party services
Many sites rely on things we do not run: payment providers, booking systems, mapping, mailing list tools, social platforms and so on.
We will set them up and connect them properly, but we are not responsible for how they behave, what they charge, or whether they keep existing. If one of them changes or closes and your site needs work as a result, that work is chargeable.
Your responsibilities
You are responsible for what your website says and does once it is live. That includes keeping your prices and details up to date, and meeting any legal obligations that apply to your business — consumer information, accessibility, cookies, privacy, and anything specific to your trade.
We will build the site so it can meet those obligations, and we will tell you what we think you need. We are not your solicitor, and this is not legal advice.
Data protection
Each of us must meet our obligations under UK data protection law.
For our own records — your contact details, our correspondence, our invoices — we are the data controller, and our privacy policy explains what we hold and why.
Where we host your site, or handle personal data that your website collects, we are acting as a processor on your behalf. We only do what you ask us to do with that data, we keep it secure, we do not use it for anything of our own, and we do not pass it to anyone else except where we have to in order to provide the service or where the law requires it. If you need a separate written processing agreement, ask and we will put one in place.
Confidentiality
Neither of us will pass on the other's confidential information. We see logins, supplier prices and sometimes customer data; none of it goes anywhere.
Liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability to you for any claim is limited to the amount you have paid us, for the work the claim relates to, in the twelve months before the claim arose.
We are not liable for loss of profit, loss of business, loss of anticipated savings, or for any loss that was not reasonably foreseeable when we agreed the work. We are not liable for loss of data beyond restoring the most recent backup we hold.
If either of us wants to stop
You can cancel work at any time by telling us in writing. You pay for the work done up to that point, and the 30% deposit is not refunded.
We can stop work if an invoice goes unpaid after we have chased it, if we cannot get the material we need from you after asking repeatedly, or if we are asked to do something unlawful.
If we stop for one of those reasons, you pay for the work done. If we simply cannot finish for a reason of our own, we will refund anything you have paid for work not done, including the deposit, and help you move to someone else.
If you are a consumer
If you are buying as an individual rather than for a business, you have fourteen days to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, starting the day after we agree the work.
If you ask us to start within those fourteen days and then cancel, you pay for what we have done up to that point. If we have not started, you get everything back, including the deposit.
To cancel, tell us in writing — an email is fine. This does not affect your other legal rights.
Things outside anyone's control
Neither of us is liable for failing to do something because of an event outside our reasonable control — among other things, a failure of the internet or a telecommunications network, a supplier ceasing to trade, fire, flood, or an act of government. If that happens we will tell you and agree what to do next.
The rest
These terms and your quotation are the whole agreement between us, and they replace anything said beforehand.
If a court finds part of these terms unenforceable, the rest still stands.
Nobody other than you and us has any rights under this agreement.
We may update these terms. Changes apply to new quotations, not to work already agreed.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Talking to us first
If something goes wrong, ring us. Most problems take a phone call and an afternoon. We would much rather sort it out than argue about it.
